According to Grande Asset Hotels and Property Public Company Limited (the “Company”) has entered into the agreement to issue and offer the newly convertible debentures pursuant to the convertible debenture agreement for “Grande’s long-term convertible debentures Asset Hotels and Property Public Company Limited No. 5/2022 due 2025” (“Convertible Debentures”) to Advance Opportunities Fund (“AO Fund”) and Advance Opportunities Fund I (“WA Fund I“) who are collectively referred to as “Convertible Debenture Holders”. Then AO Fund gave notice of the conversion of the Convertible Debentures on June 9, 2022 as follows:

  • AO Fund has notified the conversion of convertible debentures in the number of 10,000 units (10 million baht) into 50,505,050 ordinary shares.
  • The conversion prices of the AO Fund are equal to 0.198 Baht per share, which are not less than 90% of the market price, the market price being calculated from the weighted average price of the shares of the Company in the SET for the past. 7-15 working days. However, the weighted average price of the Company’s shares over the last 7 business days is as follows:

Therefore, the convertible price on June 9, 2022 is equal to 0.198 baht per share, which is not less than 90% of the market price, so it is not considered the blackout condition. for sale of shares within one year from the date of receiving the convertible securities (silent period) in accordance with the notification of the Stock Exchange of Thailand, Subject: rules, conditions and procedures governing the listing of common shares of preferred shares issued for the capital increase BE 2558. The holders of convertible debentures will receive the shares of the conversion of the Convertible Debentures on June 9, 2022 in the number of 50,505,050 shares. Consequently, there remain the remaining capital increase common shares for hosting the conversion of the convertible debentures in the number of 1,613,954,883 shares.
